1. Acceptance of Terms

By accessing or using Standwick ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not access or use the Service. These terms apply to all visitors, users, and others who access the Service.

2. Description of Service

Standwick provides business risk monitoring, analysis, and intelligence tools. The Service generates risk assessments based on data you provide. These assessments are informational in nature and do not constitute professional business, financial, legal, or investment advice. You are solely responsible for any decisions or actions you take based on the Service's output.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials, including your password and any API keys. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorized use.

4. Acceptable Use

You agree not to misuse the Service. This includes, but is not limited to: attempting to circumvent any access restrictions, using the Service for any unlawful purpose, interfering with the proper functioning of the Service, reselling or redistributing the Service without authorization, or accessing the Service through automated means beyond the provided API with valid credentials.

5. Intellectual Property

The Service, including its original content, features, functionality, and design, is owned by Standwick and protected by applicable intellectual property laws. You retain ownership of the data you submit. By submitting data, you grant Standwick a license to use that data solely for the purpose of providing and improving the Service, including anonymized aggregation for benchmarks and market intelligence. Your individual business data is never exposed publicly without your explicit consent.

6. Payments and Subscriptions

Paid services, including Standwick Pro, API access, and Capital membership, are billed according to the terms presented at the time of purchase. Payments are processed securely by Stripe. Subscription fees are non-refundable except where required by law. You may cancel any subscription at any time; access continues until the end of the current billing period. Standwick reserves the right to modify pricing with notice.

7. Third-Party Services

The Service may integrate with or link to third-party services. Standwick is not responsible for the content, accuracy, or practices of any third-party services. Your use of such services is at your own risk and subject to their respective terms.

8. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. Standwick disclaims all warranties, including fitness for a particular purpose, merchantability, and non-infringement. In no event shall Standwick be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service or from business decisions made based on its output, even if advised of the possibility of such damages.

9. Indemnification

You agree to indemnify and hold harmless Standwick and its operators from any claims, damages, or expenses arising from your use of the Service, your violation of these terms, or your violation of any third-party rights.

10. Termination

Standwick reserves the right to suspend or terminate your account at any time for violation of these terms or for any other reason at its sole discretion. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination, including limitation of liability and intellectual property, shall survive.

11. Governing Law

These terms are governed by the laws of the state of Wyoming. Any disputes arising from these terms or the Service shall be resolved in the competent courts of Wyoming.

12. Changes to Terms

Standwick reserves the right to modify these terms at any time. Material changes will be communicated via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised terms.
